01Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of maxsunmedia.com and any related pages, content, and storefronts operated by MaxSun Media (collectively, the "Site"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you enter into a separate written agreement with us for services (a proposal, statement of work, or subscription agreement), that agreement controls where it conflicts with these Terms.

02Who we are

MaxSun Media LLC ("MaxSun Media", "we", "us", "our") is a limited liability company organised in the State of California, United States. We build and ship websites, brand assets, content, and automation for clients on a subscription basis, and we operate the MaxsunShop print-on-demand storefront on Etsy.

03The website

The Site is an informational and marketing website. Nothing on it is an offer, a contract, a guarantee of results, or professional advice of any kind (legal, financial, tax, or otherwise). Pricing shown on the Site is indicative and may change; a binding price only exists once it is in a signed proposal or written agreement.

We may change, suspend, or remove any part of the Site at any time without notice. We do not promise the Site will be uninterrupted or error-free.

04Services and engagements

Client work is governed by a separate written agreement. That agreement, not this page, defines scope, deliverables, timelines, fees, revisions, cancellation, and ownership of deliverables. In general:

• Subscriptions are billed in advance and continue until cancelled in line with the applicable agreement.
• Fees paid are non-refundable except where an agreement, a written guarantee, or applicable law says otherwise.
• Timelines depend on you supplying assets, access, approvals, and feedback promptly. Delays on your side move the schedule.
• We may show completed, non-confidential work in our portfolio and marketing unless the agreement says we may not.

Booking an intro call through the Site does not create a contract or reserve capacity. It is a conversation.

05MaxsunShop and product sales

Physical products are sold through our MaxsunShop storefront on Etsy and fulfilled by third-party print-on-demand partners. Purchases made on Etsy are subject to Etsy's own terms, policies, and buyer protection, together with the shop policies published on our Etsy shop page, including the returns, exchange, shipping, and cancellation terms stated there.

• Order processing, shipping estimates, tracking, returns, and refunds for Etsy orders follow the shop policies posted on the Etsy listing and Etsy's marketplace rules.
• Because items are made to order, personalised and custom items may be non-returnable except where they arrive damaged, defective, or materially different from the listing.
• Product photographs and mockups are representative. Colour reproduction varies by screen, garment batch, and print process; minor variation is normal and is not a defect.
• Some designs are created with the assistance of generative AI tools and are disclosed as such where required by the marketplace. We do not knowingly sell designs that infringe third-party intellectual property. If you believe a listing infringes your rights, contact us and we will review and remove it where warranted.

06Affiliate links

Some pages, notably the stack we run on, contain affiliate links. If you click one and sign up or buy, we may earn a commission at no additional cost to you. We only link to tools we actually use, and a commission never changes what we recommend or what we say about a tool. This disclosure is made in line with the FTC's endorsement guidelines.

07Intellectual property

The Site, its design, text, graphics, photography, code, and the MaxSun Media name and logo are owned by us or our licensors and are protected by copyright, trademark, and other laws. You may view and share the Site for personal, non-commercial purposes and quote short excerpts with attribution and a link.

You may not copy, republish, resell, scrape at scale, or use our content to train a machine-learning model without our prior written permission. Ownership of client deliverables is set by the applicable client agreement, not by this page.

08Acceptable use

When using the Site, you agree not to:

• Break any applicable law or infringe anyone's rights.
• Attempt to gain unauthorised access to the Site, its hosting, or any connected system.
• Interfere with the Site's operation, including by automated scraping, denial-of-service, or injecting malicious code.
• Misrepresent your identity or your affiliation with us.
• Use the Site or anything on it to build a competing product or service offering.

09Third-party services

The Site links to and relies on third-party services: Netlify for hosting, GoHighLevel for scheduling intro calls, Etsy for our storefront, and the affiliate programmes named on the stack page. Those services are controlled by their own operators under their own terms and privacy policies. We are not responsible for third-party content, availability, or practices, and a link is not an endorsement of everything that service does.

10Disclaimers

The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law.

We do not warrant that the Site will be accurate, complete, current, secure, or uninterrupted. Any case studies, metrics, examples, or results described on the Site are illustrative of what has happened for specific clients and are not a promise of comparable results for you. Business outcomes depend on factors outside our control.

11Limitation of liability

To the fullest extent permitted by law, MaxSun Media and its owners, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, arising out of or related to your use of the Site, whether based in contract, tort, warranty, statute, or otherwise, and even if we have been advised of the possibility of such damages.

Our total aggregate liability arising out of or related to the Site will not exceed the greater of (a) the amount you paid us in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars (US$100). Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

12Indemnification

You agree to indemnify and hold harmless MaxSun Media and its owners and contractors from any claims, damages, liabilities, and reasonable legal fees arising out of your use of the Site, your breach of these Terms, or your violation of any law or third-party right.

13Privacy

Our handling of personal information is described in the Privacy Policy, which forms part of these Terms. In short: this website sets no cookies of its own and runs no analytics or advertising trackers. Read the policy for the full picture, including what happens when you book a call or click an affiliate link.

14Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have breached these Terms. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, and governing law) survive.

15Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes take effect when posted. Continuing to use the Site after a change means you accept the revised Terms. If you do not agree, stop using the Site.

16Governing law and disputes

These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. You and MaxSun Media agree to the exclusive jurisdiction of the state and federal courts located in the State of California for any dispute not subject to informal resolution.

Before filing anything, contact us at juliuschua@maxsunmedia.com and give us thirty days to resolve the issue directly. Most things get solved this way.

17Miscellaneous

• Entire agreement. These Terms, plus the Privacy Policy and any signed client agreement, are the entire agreement between you and us regarding the Site.
• Severability. If any provision is found unenforceable, the rest stays in force and the unenforceable part is limited to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
